    About the Position

    Introduction

    Crypto.com is seeking a proactive and experienced Corporate Secretarial Manager to join its Legal team in Hong Kong. This role is crucial for maintaining and further developing the company's corporate governance framework, ensuring compliance with local regulations and international financial services standards amidst rapid product releases and global expansion.

    Responsibilities

    1. Governance & Entity Management

    • Support the Legal Team in carrying out company secretarial functions for global entities, ensuring full compliance with local statutory and regulatory requirements.
    • Oversee the drafting and circulation of shareholder and board resolutions, and manage the formal administration of corporate seals and usage protocols.
    • Act as the final reviewer for all statutory and regulatory filings to ensure accuracy and adherence to legal deadlines.

    2. Board & Stakeholder Coordination

    • Direct the end-to-end logistics and coordination of Shareholder and Board meetings, ensuring seamless execution and professional stakeholder engagement.
    • Serve as the primary point of contact for external secretarial service providers and internal stakeholders on complex global corporate projects.
    • Synthesize complex governance data into clear, periodic updates for internal leadership and relevant stakeholders.

    3. Leadership & Operational Excellence

    • Provide mentorship and guidance to direct reports, establishing clear prioritization and robust quality assurance processes.
    • Drive departmental efficiency by implementing AI-driven tools and automated workflows to modernize the secretarial function.
    • Support the formulation of group-wide corporate policies, document templates, and standardized workflows.

    4. Team Administration & Legal Research

    • Facilitate the team's annual budget and expense forecasting, managing external vendors cost-effectively.
    • Conduct in-depth research and analysis of evolving corporate laws to proactively advise internal stakeholders.
    • Execute high-priority ad hoc tasks and special projects as required by management.

    Requirements

    • Bachelor’s degree in Business Administration, Corporate Governance, Law, or a related discipline.
    • 6 to 8 years of company secretarial experience.
    • Excellent command of spoken and written English.
    • Proficiency in MS Office applications.
    • Self-motivated and detail-oriented.
    • Ability to prioritize tasks and work independently.

    Nice to Have

    • Direct people management experience, preferably within a legal or compliance function.
    • Membership or student status with HKCGI, CSIS, MAICSA, ICSA, and ICPA.
    • Experience in utilizing entity management platforms and other digital tools.
